2. Use of Our Website

By joining our waitlist, you are expressing interest in our upcoming Platform. Joining the waitlist does not create any obligation for us to provide you with the service, nor does it guarantee you early access or a subscription. It serves as an expression of interest, and we will use the email address provided to send you information about our launch, services, and any potential offers (such as the launch discount).

4. Platform Services (Post-Launch)

Our Platform provides Environmental, Social, and Governance (ESG) and carbon accounting services for UK SMEs. These services will be subject to a subscription agreement, which will be presented to you upon registration for the paid service.

  • Account Registration: You will be required to register for an account to use the Platform. You agree to keep your password confidential and will be responsible for all use of your account.
  • Subscription & Fees: Our Platform will be provided on a paid subscription basis. All payment terms, fees, and renewal policies will be outlined in your subscription agreement.
  • User-Provided Data: To use the Platform, you must connect or upload certain data, which may include financial data from Xero/QuickBooks, utility bills, and other business operational data ("Your Data"). You represent and warrant that you have all necessary rights to provide Your Data to us.

5. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Site and Platform, including all source code, databases, functionality, software, website designs, text, and graphics (collectively, the "Content"), as well as the trademarks and logos ("Marks").

The Content and Marks are provided "AS IS" for your information and personal use only. You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business purposes, subject to your paid subscription. No part of the Site, Platform, Content, or Marks may be copied, reproduced, or exploited for any commercial purpose without our express prior written permission.

You retain full ownership of Your Data. You grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze Your Data solely for the purpose of providing the Platform services to you and improving our AI models in an aggregated, anonymized form.

6. Prohibited Activities

You may not use the Site or Platform for any purpose other than that for which we make them available. You agree not to:

  • Decompile, reverse engineer, or otherwise attempt to derive the source code of the Platform.
  • Use the Platform to build a competitive product or service.
  • Introduce any viruses, trojan horses, or other malicious material.
  • Attempt to gain unauthorized access to our systems or user accounts.
  • Use the Platform in any way that violates any applicable national or international law or regulation.

7. Disclaimer of Warranties

THE SITE AND PLATFORM ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND PLATFORM WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND PLATFORM AND YOUR USE THEREOF.

WE MAKE NO WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. THE ESG AND CARBON CALCULATIONS PROVIDED ARE BASED ON YOUR DATA AND ESTABLISHED METHODOLOGIES (E.G., GHG PROTOCOL), BUT WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THIS INFORMATION. YOU ARE RESPONSIBLE FOR THE FINAL VALIDATION AND USE OF ANY REPORTS OR DATA GENERATED.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
